Welcome to The Singapore Mint e-trade. By using The Singapore Mint e-trade (include www.singaporemint.com and its related websites, services and tools), you have agreed to the terms and conditions set out in this User Agreement. If you have any questions, please contact us by sending an email to email@example.com.
Before you register for The Singapore Mint e-trade, you must read and accept all of the terms and conditions stated in The Singapore Mint website. We strongly recommend that, as you read the terms and conditions stated herein, you also access and read the linked information. By accepting this terms and conditions, you agree that this terms and conditions will apply whenever you use The Singapore Mint e-trade services (hereinafter also referred to as "e-trade").
While using e-trade, you will not:
- post content or items in an inappropriate category or areas on our websites or services;
- violate any laws and third party rights;
- use our websites or services if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from our websites;
- fail to deliver payment for items purchased by you, unless the seller has materially changed the item's description after you bid, a clear typographical error is made, or you cannot authenticate the seller's identity;
- fail to deliver items purchased from you, unless the buyer fails to meet the posted terms, or you cannot authenticate the buyer's identity;
- manipulate the price of any item or interfere with other e-trade user's listings;
- post false, inaccurate, misleading, defamatory, or libellous content (including personal information);
- take any action that may undermine the feedback or ratings systems (such as displaying, importing or exporting feedback information off of the sites or using it for purposes unrelated to The Singapore Mint);
- transfer your e-trade account (including feedback) and E-mail to another party without our consent;
- distribute or post spam, chain letters, or pyramid schemes;
- distribute viruses or any other technologies that may harm The Singapore Mint, or the interests or property of e-trade users;
- copy, modify, or distribute content from the websites and The Singapore Mint's copyrights and trademarks; or
- harvest or otherwise collect information about e-trade users, including email addresses, without their consent.
Abusing The Singapore Mint e-trade
The Singapore Mint work to keep our websites and services working properly and the Community safe. Please report problems, offensive content, and policy violations to us.
Without limiting other remedies, we may limit, suspend, or terminate our service and e-trade user accounts, prohibit access to our websites and their content, delay or remove hosted content, and take technical and legal steps to keep e-trade users off the sites if we think that they are creating problems or possible legal liabilities, infringing the intellectual property rights of third parties, or acting inconsistently with the letter or spirit of our policies. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a long time.
Buyers and sellers share the responsibility for making sure purchases facilitated by e-trade are exciting, rewarding and hassle-free. We strongly encourage buyers to work with sellers before opening a claim relating to a purchase.
Fees and Services
Joining e-trade by setting up a user account and bidding on listed items is free. You acknowledge and agree that we shall be entitled to charge you a fee for permitting you to access the e-trade and using other services such as listing items, and the amount of such fee shall be at our full discretion which we may change from time to time. When you list an item or use a service that has a fee, you will have an opportunity to review and accept the fees that you will be charged. Changes to the fee chargable are effective after we provide you with at least fourteen (14) days' notice by posting the changes on the e-trade websites. We reserve the right to temporarily change the fees (if any) for our services for promotional events or new services and such changes are effective when we post the temporary promotional event or new service on the e-trade websites.
Unless otherwise stated, all fees are quoted in Singapore Dollars. You are responsible for paying all fees and applicable taxes associated with our websites and services in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms. (This includes charging other payment methods on file with us, retaining collection agencies and legal counsel, and for accounts over 180 days past due, deducting the amount owed from your PayPal account balance.)
When you give us content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise any and all copyright, publicity, and database rights (but no other rights) you have in the content, in any media known now or in the future.
Limitation of Liability
You will not hold The Singapore Mint responsible for other e-trade users' content, actions or inactions, or items they list. You acknowledge that we are not a traditional auctioneer and we do not do valuation of items. Instead, the websites are a venue to allow anyone to offer, sell, and buy coins and medallions, at anytime, from anywhere, in a variety of pricing formats and venues, such as stores and fixed price formats. We are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the correctness, quality, completeness, security or legality of items advertised, the truth or accuracy of e-trade users' content or listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will actually complete a transaction. We will not be liable to you or any third party for the correctness, quality, completeness, security, accuracy, reliability, performance or continued available of the e-trade, or for any failure of any connection or communication service to provide or maintain your access to e-trade.
You will not hold The Singapore Mint responsible for other e-trade users' actions or inactions, including things they post. You acknowledge that we are not a traditional auctioneer. Instead, the sites are a venue to allow anyone to offer, sell, and buy just about anything, at anytime, from anywhere, in a variety of pricing formats and venues, such as stores, fixed price formats and auction-style formats. We are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the correctness, quality, completeness, security or legality of items advertised, the truth or accuracy of listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will actually complete a transaction. You will make your own decision to access or use e-trade or to execute any buy and/or sell transactions through e-trade. You are solely responsible for any sale and/or purchase or trading decisions you make with respect to items identified or listed on e-trade and we are not responsible in whatsoever way for determining whether any transaction you may enter into is suitable, appropriate or advisable. We and our affiliates are not and will not, by virtue of providing e-trade and its related websites and services, be an advisor or fiduciary for you.
We do not transfer legal ownership of items from the seller to the buyer. Unless the buyer and the seller agree otherwise, the buyer will become the item's lawful owner upon physical receipt of the item from the seller. We cannot guarantee continuous or secure access to our services, and operation of the sites may be interfered with by numerous factors outside of our control. Accordingly, to the extent legally permitted, we exclude all implied warranties, terms and conditions. We are not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of our sites and services. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.
You acknowledge that all proprietary rights relating to the e-trade are owned by us and/or any applicable third party service provider or their respective licensors, and are protected under copyright, trademark and other intellectual property laws and other applicable laws. You receive no copyright, trademark, intellectual property rights or other rights in or relating to the e-trade. You will protect and not violate our or any third party service provider's proprietary rights in or relating to the e-trade or the components thereof and honour and comply with out reasonable request to protect our and each third party service provider's contractual, statutory and common law rights in relation to the e-trade. If you become aware of any violation of our or a third party service provider's proprietary rights in relating to the e-trade, you will notify us promptly in writing. Notwithstanding the any other provision in this User Agreement, if we are found to be liable in any way in connection with a Claim, our liability to you or to any third party is limited to the total fees (if any) that you paid to us in the twelve 12 months prior to the Claim giving rise to the liability.
You will indemnify and hold us and our affiliates (and the shareholders, directors, officers, employees, agents, consultants, advisors of us and our affiliates), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this User Agreement, or your violation of any law or the rights of a third party.
If you have a dispute with one or more e-trade users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (direct and indirect, actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We view protection of users' privacy as a very important community principle. You can access and modify the information you provide us.
Governing Law and Resolution of Disputes
If a dispute arises between you and The Singapore Mint, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and The Singapore Mint agree that we will resolve any claim or controversy at law or equity that arises out of this User Agreement or our services (a "Claim") in accordance with the paragraph below or as we and you otherwise agree in writing. Before resorting to dispute resolution, we strongly encourage you to first contact us directly at firstname.lastname@example.org. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.
This User Agreement shall be interpreted, construed and governed in all respects by the laws of the Republic of Singapore. You agree to attempt to resolve all Claims arising promptly and in a good faith matter. You agree that any Claim you may have against The Singapore Mint shall be resolved by a court located in Singapore, except as otherwise agreed by the parties You agree to submit to the exclusive jurisdiction of the courts located within the Republic of Singapore for the purpose of litigating all such claims or disputes.
If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and do not limit the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this Agreement.
We may amend this User Agreement at any time by posting the amended terms on the e-trade websites. Except as stated elsewhere, all amended terms shall automatically be effective fourteen (14) days after they are initially posted.
This User Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. The following sections survive any termination of this User Agreement: Fees and Services (with respect to fees owed for our services), Release, Buyer Protection, Content, Liability, Indemnity and Governing Law and Resolution of Disputes.
